End User License Agreement (EULA)

Please read these Terms of Service ("Terms," "Agreement") carefully before using the Arbor Dash business management platform and related services (collectively, the "Service") operated by Arbor Dash ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Arbor Dash provides a business management platform designed for tree care and landscaping professionals. The Service includes features for:

  • Customer relationship management (CRM)
  • Job scheduling and crew management
  • Estimates and proposals
  • Invoicing and payment processing
  • Integration with third-party services (QuickBooks, payment processors, etc.)
  • Reporting and analytics

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized use of your account or any other security breach.

4. Subscription and Payment

4.1 Fees

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

4.2 Payment

You agree to pay all fees associated with your subscription. Payment is due at the beginning of each billing cycle. We use third-party payment processors, and your use of payment services is subject to their terms.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

5. User Content and Data

5.1 Your Content

You retain ownership of all data, content, and information you submit to the Service ("User Content"). By using the Service, you grant us a limited license to use, store, and process your User Content solely to provide the Service to you.

5.2 Responsibility for Content

You are solely responsible for your User Content and ensuring it does not violate any laws or third-party rights. You represent that you have all necessary rights to submit User Content to the Service.

5.3 Data Backup

While we take reasonable measures to protect your data, you are responsible for maintaining your own backups of User Content. We are not liable for any loss of User Content.

6. Third-Party Integrations

The Service allows you to connect third-party services such as QuickBooks Online, Stripe, and others. By connecting these services:

  • You authorize us to access and use data from those services as described in our Privacy Policy.
  • You agree to comply with the terms of service of those third-party providers.
  • You understand that we are not responsible for the availability, accuracy, or functionality of third-party services.
  • You can disconnect integrations at any time through our settings.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Resell, sublicense, or redistribute the Service without authorization
  • Use automated systems to access the Service without permission
  • Collect user information without consent

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Arbor Dash and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBOR DASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Arbor Dash, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Colorado.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arbor Dash regarding the Service and supersede all prior agreements and understandings.
